TERMS OF USE OF THE HEALION TELEMEDICINE PLATFORM
1. Introduction
1.1 HealionMed OÜ, a company registered under the laws of the Republic of Estonia with company registration number 17284775 and registered address at Harju maakond, Tallinn, Kesklinna linnaosa, Tornimäe tn 5, 10145, is the developer, maintainer, and legal owner of the digital health platform known as Healion (hereinafter referred to as "Healion", "the Company", or "the Platform").
1.2 The Platform includes, but is not limited to, the website and digital systems operated by Healion, its mobile application (when applicable), and all underlying software, tools, and interfaces that enable licensed medical professionals to offer remote healthcare consultations.
1.3 These Terms of Use govern the relationship between Healion and independent medical practitioners (“the Practitioner”) who apply for, access, or use the Platform. By using the Platform, the Practitioner agrees to be bound by the terms described herein.
2. Ethical and Professional Commitment
2.1. By applying for and using the Healion telemedicine platform, the medical practitioner hereby expressly agrees to:
2.1.1 Provide telemedicine services in an ethical, professional, respectful, and lawful manner, always prioritizing the health, safety, privacy, and dignity of their patients.
2.1.2 Adopt best clinical practices and act in good faith, ensuring that medical decisions are guided by evidence-based medicine and the Practitioner’s independent professional judgment.
2.1.3 Comply fully with all applicable laws, regulations, licensing requirements, and ethical guidelines governing the provision of telemedicine services in their jurisdiction.
2.1.4 Uphold patient confidentiality and privacy at all times, in compliance with applicable data protection legislation.
2.2 The Practitioner is expected to deliver care with compassion, integrity, and diligence, maintaining the trust inherent to the medical profession.
3. Nature of the Relationship: Independent Professional Status
3.1 The Practitioner acknowledges, understands, and agrees that:
3.1.1 The Platform serves solely as a technological tool to facilitate the delivery of telemedicine services. Healion does not employ, manage, control, or supervise the Practitioner’s clinical practice.
3.1.2. There is no employment, agency, partnership, or joint venture relationship between the Practitioner and Healion.
3.1.3 The Practitioner is an independent healthcare provider responsible for their own decisions, professional conduct, and services rendered to patients.
3.1.4 The Platform does not guarantee patient volume, income, or continued access.
4. Service Fees and Payment Terms
4.1 The Practitioner agrees to compensate Healion for the use of its technology, digital infrastructure, patient management tools, marketing resources, and associated services through a flat 15% service fee applied to the gross value of all consultations performed via the Platform.
4.2 This fee is charged exclusively for access to the Platform’s features, technology, infrastructure, and support services, and does not represent any fee for the provision of medical services.
4.3 Healion reserves the right to modify the service fee at any time. In such cases, Practitioners will be notified with at least 30 (thirty) days' prior written notice. Continued use of the Platform after this period will constitute acceptance of the new terms.
4.4 Invoicing and Payment Schedule
4.4.1 Healion will issue monthly invoices to the Practitioner only for the retained service fee (15%), corresponding to the technology and operational services provided by the Platform.
4.4.2 The net consultation amount (after the 15% fee deduction) will be transferred to the Practitioner on the 15th (or the next business day) of the month following the date of the consultations.
4.4.3 All payments will be made to the Practitioner’s designated bank account or approved payment method, conditional upon full compliance with applicable regulatory and invoicing requirements.
4.4.4 The Practitioner is solely and entirely responsible for the reporting, declaration, and payment of any personal or professional taxes, contributions, or fiscal obligations resulting from their activities and income generated through the Platform.
5. Limitation of Liability and Indemnity
5.1 The Practitioner expressly acknowledges that:
5.1.1 Healion is not a healthcare provider, hospital, clinic, or medical institution.
5.1.2 The Platform does not employ, supervise, or direct the medical activities of the Practitioner, nor does it participate in the medical decision-making process in any form.
5.1.3 All medical actions, clinical opinions, prescriptions, treatments, communications, documentation, follow-up, or omissions are under the sole and exclusive responsibility of the Practitioner.
5.1.4 Healion shall not, under any circumstance, be held liable or co-responsible for:
5.1.5 Any ethical violations, disciplinary actions, or regulatory investigations involving the Practitioner
5.1.6 Any malpractice claims, patient complaints, lawsuits, fines, or judicial processes arising from the Practitioner’s behavior, professional conduct, or services
5.1.7 Any breach of confidentiality, data protection failure, or informed consent dispute initiated by the Practitioner or their patients
5.1.8 Any harm, loss, or damage (whether material, financial, reputational, physical, or emotional) suffered by patients due to the acts or omissions of the Practitioner
5.2 In the event of any legal or administrative action involving the Practitioner, Healion will not intervene, provide legal defense, or assume any liability or financial obligation on behalf of the Practitioner.
6. Compliance and Legal Responsibility
6.1 The Practitioner confirms that:
6.1.1 They hold all valid medical licenses, registrations, and certifications necessary for the lawful practice of telemedicine in the relevant jurisdictions.
6.1.2 They will immediately notify Healion of any suspension, revocation, or expiration of their professional credentials.
6.2 Healion is not responsible for monitoring or verifying the validity of the Practitioner’s professional status.
7. Acceptance of Terms
7.1 By applying for the selection process, scheduling an interview, or otherwise using the Platform, the Practitioner:
7.1.1 Irrevocably accepts these Terms of Use
7.1.2 Understands and agrees that these Terms are binding, non-negotiable, and may be updated periodically
7.1.3 Acknowledges that continued use of the Platform implies ongoing acceptance of the current version of these Terms
7.2 Failure to comply with these Terms may result in suspension or termination of access to the Platform without prior notice.
8. Technology and Third-Party Services Disclaimer
8.1 The Platform may rely on third-party software, hosting services, video conferencing tools, and other integrated systems.
8.2 Healion does not guarantee the uninterrupted availability of such services and shall not be liable for any data loss, service disruption, degradation in video/audio quality, or unavailability caused by third-party providers or internet/network issues.
9. Emergency Medical Situations
9.1 Healion is not an emergency service provider. The Platform is not intended to be used in life-threatening or critical care situations.
9.2 In the event of a medical emergency, patients must be instructed to immediately contact their local emergency services.
9.3 The Practitioner must not use the Platform as a substitute for emergency response.
10. Professional Conduct and Environment
10.1 The Practitioner must ensure that each teleconsultation is conducted in a secure, private, and confidential setting.
10.2 It is the Practitioner’s responsibility to obtain informed consent from patients prior to the consultation and to ensure that the patient is made aware of the scope and limitations of telemedicine services.
11. Updates to the Terms
11.1 The most recent version of these Terms of Use will always be available on the official Healion website.
11.2 Healion may modify these Terms at any time.
11.3 Continued use of the Platform after such notice period constitutes acceptance of the revised Terms.
12. Data Privacy and Protection
12.1 Healion is committed to protecting personal and medical data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) and any other relevant jurisdictional legislation.
12.2 Practitioners are responsible for ensuring that their use of the Platform complies with all local and international privacy regulations and that patient data is securely stored and transmitted.
12.3 Practitioners shall refer to and comply with the Healion Privacy Policy.
13. Grants of Rights of Image Use Consent and Release
13.1 By agreeing to this Terms of Use, you voluntarily grant to Healion, its affiliates, successors, licensees, representatives, and assigns, the irrevocable, worldwide, perpetual, royalty-free right and permission to:
13.1.1 Capture, use, reproduce, publish, display, distribute, transmit, edit, modify, and otherwise utilize your Image in any format (including but not limited to photographs, videos, graphics) and through any media now known or hereafter developed;
13.1.2 Display your Image within the Healion telemedicine platform for the purposes of patient scheduling, professional identification, and enhancing the patient experience;
13.1.3 Use your Image on the Healion website, landing pages, email communications, digital advertising, educational materials, and across all social media platforms, including but not limited to Instagram, Facebook, LinkedIn, and Twitter/X;
13.1.4 Edit, crop, adapt, or modify your Image, provided that such modifications do not misrepresent your professional identity or qualifications.
14. No Compensation
14.1 You acknowledge and agree that you shall not receive any financial or other compensation for the use of your Image by Healion as described in this Terms. This authorization is granted voluntarily and without expectation of remuneration.
15. Intellectual Property
15.1 All materials incorporating your Image shall remain the exclusive property of Healion. You understand that you have no ownership rights in such materials and will not receive copies or approvals prior to their use, unless otherwise agreed in writing.
16. Use for Promotional and Commercial Purposes
16.1 You expressly authorize Healion to use your Image for promotional, marketing, commercial, and educational purposes, including but not limited to:
16.1.1 Promoting healthcare services and attracting new patients;
16.1.2 Increasing engagement and visibility across digital channels;
16.1.3 Showcasing the professionalism and diversity of the medical team.
17. Privacy and Sensitive Information
17.1 Healion commits to respecting your privacy and undertakes not to disclose any personal, sensitive, or confidential information without your explicit prior consent. The use of your Image will strictly relate to your professional representation.
18. Right to Withdraw Consent
18.1 You may withdraw your consent at any time by providing written notice to Healion at support@healionmed.com. Upon receipt of your withdrawal, Healion will cease future use of your Image in new materials. However, you understand that materials already produced, published, or distributed prior to the withdrawal cannot be recalled, modified, or removed retroactively.
19. Release and Waiver of Claims
19.1 By entering into this Terms:
19.1.1 You waive any right to inspect or approve the final use of your Image;
19.1.2 You release and discharge Healion and its representatives from any and all claims, demands, or causes of action, including but not limited to claims for defamation, invasion of privacy, or violation of publicity rights, arising from or related to the use of your Image as permitted by this Agreement.
20. Term and Termination
20.1 This Terms shall be effective as of the date of applying for and using Healion and shall remain in effect indefinitely unless you withdraw consent as set forth in Section 18.
20.2 Termination will not affect any prior lawful use of your Image already made by Healion.
21. Applicable Law and Jurisdiction
21.1 These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law principles.
22.2 Any disputes arising out of or in connection with these Terms of Use shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia.
